General Terms and Conditions

1. General

  • These Terms & Conditions apply to all services and sales provided by DotBridge, registered in Belgium under Johan De Belie – BE1027629876, Harensesteenweg 232b222, 1800 Belgium.
  • By engaging DotBridge for consulting services or purchasing IT material, the client accepts these Terms & Conditions.

2. Services

  • Consulting and installation services are billed per hour at the agreed rate.
  • Time is tracked transparently and invoiced monthly (or per project, if agreed).
  • Travel time and expenses may be invoiced separately if applicable.
  • Deliverables (reports, scripts, configurations) remain the intellectual property of DotBridge until full payment is received.
  • DotBridge does not operate its own telephony network or communication services subject to telecom regulation. For all numbering and communication channels, DotBridge relies on UCExperts or Dstny, licensed providers. UCExperts’ or Dstny’s terms and conditions apply to these services. DotBridge’s role is limited to hosting, configuration, and support of the applications.

3. Sale of IT Material

  • DotBridge may resell IT/AV equipment, software licenses, or related products.
  • Prices are quoted exclusive of VAT and valid for 14 days unless otherwise stated.
  • Delivery times are indicative; DotBridge is not liable for delays caused by suppliers or logistics partners.
  • Ownership of goods transfers to the client only after full payment.
  • Warranty conditions follow those of the original manufacturer or distributor.

4. Invoicing & Payment

  • Invoices are payable within 30 days of the invoice date, unless otherwise agreed.
  • Late payments may incur statutory interest and administrative fees.
  • DotBridge reserves the right to suspend services or deliveries in case of overdue invoices.

5. Liability

  • DotBridge provides services on a best‑effort basis.
  • Liability is limited to the amount invoiced for the specific service or product concerned.
  • DotBridge is not liable for indirect damages (loss of data, business interruption, loss of profit).

6. Intellectual Property

  • Consulting deliverables (scripts, documentation, designs) may be reused by DotBridge in anonymized or generalized form.
  • The client receives a non‑exclusive right to use deliverables for their internal business purposes.

7. Confidentiality

  • Both parties agree to treat all non‑public information as confidential.
  • This obligation continues after the termination of the collaboration.

8. Force Majeure

  • DotBridge is not liable for delays or non‑performance caused by events beyond its reasonable control (e.g. supplier issues, strikes, technical failures).

9. Applicable Law & Jurisdiction

  • These Terms & Conditions are governed by Belgian law.
  • Any disputes fall under the jurisdiction of the courts of Brussels.
